1. The agreement
These Terms of Service ("Terms") are a binding agreement between you and Inbound Shield LLC, a limited liability company organized in the State of New York ("Inbound Shield," "we," "us," or "our"). They govern your access to and use of our website, our application, and the messaging and calling features provided through them (together, the "Service").
By creating an account, paying for a plan, or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business, and "you" means that business.
Our Privacy Policy is part of these Terms.
2. What the service does
Inbound Shield responds to people who have requested an insurance quote from you, using automated text messages and, on eligible plans, automated voice calls. It connects to your customer relationship management system, drafts and sends follow-up messages, records replies, and hands off to you when a lead is ready to speak with a licensed agent.
Inbound Shield is a communications tool. It is not an insurance producer, agency, or advisor. We do not sell insurance, quote insurance, bind coverage, or give insurance advice. The Service is configured to refuse to quote prices, rates, premiums, deductibles, discounts, or policy terms. All licensed activity remains yours.
3. Eligibility and your account
- You must be at least 18 years old and able to form a binding contract.
- You must hold every license required to conduct insurance business in the states where you operate, and you must keep those licenses current.
- You are responsible for the accuracy of the information you give us, including the legal business name, Employer Identification Number, and address used for carrier registration. Providing information that does not match your official records will cause your messaging registration to be rejected.
- You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us promptly if you suspect unauthorized access.
4. Messaging compliance — your obligations
This is the most important section of these Terms. Read it carefully.
Federal and state law govern automated calls and text messages, including the Telephone Consumer Protection Act. Liability under these laws attaches to the party on whose behalf a message is sent. That is you.
You may only load a contact into Inbound Shield if that person gave you prior express written consent to be contacted by automated text message or call at the number provided. You must be able to produce evidence of that consent.
You specifically agree that:
- You will not upload, import, or message purchased lists, scraped numbers, or contacts whose consent you cannot evidence.
- You will not use the Service to message anyone who has revoked consent, by any means, in any channel.
- You will keep your consent records for as long as the law requires, and you will provide them to us promptly if a complaint, carrier inquiry, or legal claim arises.
- You will not alter, disable, or work around the compliance features built into the Service, including opt-out keyword handling, quiet-hours enforcement, and consent status checks.
- You will complete carrier registration truthfully and will not send messages for a use case other than the one you registered.
We provide compliance tooling — consent capture pages that record the exact language shown, automatic opt-out handling for STOP and related keywords, per-number opt-out enforcement, and quiet-hours restrictions. These tools help you comply; they do not make you compliant, and they do not transfer your legal responsibility to us.
We may suspend or terminate your account immediately, without refund, if we reasonably believe you are messaging without consent or otherwise violating this section.
5. Acceptable use
You will not use the Service to:
- Send unlawful, deceptive, harassing, threatening, or misleading content.
- Impersonate another person or business, or misrepresent your affiliation with one.
- Send content in a category prohibited by mobile carriers, including but not limited to high-risk financial offers, illegal substances, gambling, or adult content.
- Attempt to access another customer's account or data, probe or test our security, or interfere with the operation of the Service.
- Resell, sublicense, or provide the Service to a third party as your own, except under a separate written agreement with us.
- Reverse engineer the Service or use automated means to extract data from it beyond the features we provide.
6. Plans, billing, and usage limits
- Subscriptions are billed in advance on a recurring monthly basis and renew automatically until cancelled.
- Plan limits apply. Each plan includes a stated monthly allowance of leads and, where applicable, voice minutes. Allowances reset at the start of each billing month and do not roll over.
- Usage above your allowance may be billed at the rates disclosed for your plan, or the feature may pause until the next billing month, depending on your plan. We will not silently exceed a stated allowance without the charge being disclosed to you.
- Pass-through costs — messaging, telephony, and carrier registration fees charged by our providers may be rebilled to you at the rate disclosed for your plan.
- Taxes are calculated automatically and added where applicable.
- Failed payment — if a payment fails, we may retry it and may suspend the Service until it is resolved.
- Price changes — we may change pricing with at least 30 days' notice by email. Founding beta pricing, where offered in writing, is honored for the term stated in that offer.
- Refunds — fees already paid are non-refundable except where required by law or where we have expressly agreed otherwise in writing.
7. Your data and ours
Your data stays yours. Lead records, contacts, conversations, and configuration you put into the Service belong to you. You grant us a limited license to host, process, and transmit that data solely to operate the Service for you and to comply with law.
Isolation. Every record is bound to a single account. We design and operate the Service so that one customer cannot access another customer's data.
Export and deletion. While your account is active you may export your data. On request after cancellation, we will delete your data within a reasonable period, except records we are required to retain — notably consent and opt-out records, which we keep for the period required by messaging regulations.
Our property. The Service, its software, design, prompts, and documentation remain ours. Nothing here transfers ownership of them to you. If you send us feedback or suggestions, we may use them without obligation to you.
8. Artificial intelligence and its limits
The Service uses artificial intelligence to generate message text and to conduct voice conversations. AI output is probabilistic. It can be wrong, off-tone, or unexpected, even with the safeguards we apply.
We constrain the AI against quoting prices or policy terms, against claiming to be human when asked directly, and against continuing after an opt-out request. You remain responsible for reviewing conversations, for the accuracy of any statement made on your behalf, and for the configuration you supply — including any business description, unique selling points, objection guidance, or custom personality settings you enter, which directly shape what the AI says.
Personal information is masked before it is sent to an AI provider, as described in our Privacy Policy.
9. Third-party services
The Service depends on third parties for customer relationship management, messaging, telephony, artificial intelligence, hosting, and payments. Your use of those services may also be governed by their own terms. We are not responsible for their acts, omissions, outages, pricing changes, or policy changes, and a failure of a third-party provider is not a breach of these Terms by us.
10. Availability and support
We aim to keep the Service available and reliable, but we do not commit to a specific uptime percentage unless we have agreed one with you in a separate written agreement. We may perform maintenance, and we may modify or discontinue features. If we discontinue a material feature of a paid plan, we will give you reasonable notice.
Support is provided by email during ordinary business hours.
11. Term, cancellation, and suspension
These Terms apply for as long as you use the Service. You may cancel at any time; cancellation takes effect at the end of the current billing period, and the Service remains available until then. We may suspend or terminate your account for non-payment, for breach of these Terms, or where required by a provider, carrier, or law. Sections 4, 7, 12, 13, 14, and 15 survive termination.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, THAT AI OUTPUT WILL BE ACCURATE, OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT. WE MAKE NO REPRESENTATION THAT THE SERVICE ALONE MAKES YOU COMPLIANT WITH ANY LAW.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR REGULATORY FINES OR PENALTIES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US IN THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply regardless of the theory of liability and are a fundamental basis of the bargain between us.
14. Indemnification
You will defend, indemnify, and hold harmless Inbound Shield LLC and its members, officers, employees, and agents from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any message or call sent through your account, including any claim that it was sent without valid consent or in violation of the Telephone Consumer Protection Act or a comparable state statute; (c) content or configuration you supply; (d) your breach of these Terms; or (e) your violation of any law or the rights of any third party.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction and venue of the state and federal courts located in New York for any dispute not otherwise resolved.
Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days.
If any provision of these Terms is held unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a sale or reorganization of the business.
16. Changes to these terms
We may update these Terms. We will revise the "Last updated" date above, and for material changes we will notify account holders by email at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
